LICENSE AGREEMENT

This License Agreement ("Agreement") is entered into between DigiTinkers, hereinafter referred to as the "Licensor," and the purchasing party ("Licensee"). This Agreement governs the use of digital files ("Files") purchased from DigiTinkers on online platforms such as Etsy, Shopify, or any other websites and platforms.

Grant of License:

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Files for personal and commercial use, limited to a total of 500 units for the creation and sale of tangible, physical items at in-person craft fairs, conventions, or similar events.

The Licensee may not distribute, sell, or sublicense the Files to third parties, or use them in any manner not expressly permitted by this Agreement.

Restrictions:

The Licensee is expressly prohibited from selling or distributing the Files on online platforms, including but not limited to Etsy, Shopify, Redbubble, or any other website or digital marketplace.

The Licensee may not use the Files to create and sell products through print-on-demand services, including but not limited to Printify and Printful.

License Renewal:

In the event the Licensee exceeds the 500-unit limit on sales of physical items, they must contact the Licensor to negotiate a renewal of the license for additional units.

Intellectual Property:

All intellectual property rights to the Files, including but not limited to copyright, remain the exclusive property of DigiTinkers. This Agreement does not transfer ownership or any rights in the Files to the Licensee.

Termination:

This license is subject to termination by the Licensor if the Licensee breaches any of the terms and conditions set forth in this Agreement. Upon termination, all rights granted under this Agreement shall cease, and the Licensee must discontinue the use of the Files.

Governing Law:

This Agreement is governed by and construed in accordance with the laws of Ohio. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Ohio.

Entire Agreement:

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

By purchasing and downloading the Files, the Licensee acknowledges that they have read, understood, and agreed to the terms and conditions of this Agreement. Failure to comply with the terms of this License Agreement may result in legal action and the revocation of the license.
